How this valuation is worked out
MSPs are priced on earnings, with the recurring contract share driving the multiple. Buyers separate managed services revenue from break-fix, project and hardware resale, because only the contracted stream carries a premium.
A worked example
An MSP with $3.1M of revenue, $155K of managed contract MRR, and $560K of EBITDA. At 5.5× that is roughly $3.1M. Cut recurring revenue to a third of the total and buyers move closer to 4×.

What moves your number
- Managed contract MRR as a share of total revenue
- Contract terms, auto-renewal, per-seat pricing and assignability
- Client concentration, tenure and vertical specialization
- Gross margin per seat after tool stack and licensing costs

Common questions
Why do MSPs sell for higher multiples than IT break-fix shops?
Contracted monthly revenue is predictable and renews. Break-fix work has to be re-won every time, so buyers discount it.
Does hardware resale count toward value?
Only lightly. It is low-margin pass-through revenue, so buyers look at the gross profit it generates rather than the revenue.
Will a past security incident hurt the sale?
It comes up in diligence. What matters is how it was handled, what changed afterwards, and whether the insurance and client relationships stayed intact.
