How this valuation is worked out

Whole agencies with staff and management are priced on EBITDA, typically 6 to 10 times, while smaller producer-led books trade on a multiple of commission. Commercial lines command more than personal lines, and retention above 90% moves an agency to the top of its range.

A worked example

An agency writing $6M of premium at a 13% average commission earns about $780K of commission income. At 2.0–3.0× commission that is $1.56M–$2.34M, with 92% retention and a low-churn commercial book supporting the higher end.

Common questions

Commission multiple or EBITDA?

Agencies with employees and management depth sell on EBITDA. A one-producer book sells on a multiple of commission, usually 1.5 to 3.5 times.

Do carrier appointments transfer?

Not automatically. Buyers check portability early, and non-transferable appointments reduce what they will pay.

Is an earn-out normal?

Yes. Most agency deals pay part up front with the rest tied to retention over one to three years.
