How this valuation is worked out

Dealerships are usually priced as blue sky — a multiple of adjusted earnings, commonly around 2.5 to 5 times — plus the value of inventory, parts, equipment and real estate. Franchise dealerships also need factory approval of the buyer, which affects timing and the buyer pool.

A worked example

An independent used-car dealership with $480K of adjusted earnings and a profitable service bay. At 3× the blue sky is roughly $1.4M, with floorplanned inventory, parts and the property valued separately.

Multiple ranges reviewed September 2026, based on offers buyers in our network are making today. They are a guide, not a quote — see how the process works.

Common questions

What is blue sky?

It is the goodwill portion of a dealership's price — a multiple of adjusted earnings, separate from inventory, parts, equipment and property.

Does the manufacturer have to approve a sale?

For franchised dealerships, yes. The factory reviews the buyer and may hold a right of first refusal, which adds time.

How do independent lots differ?

Independent used-car dealerships have no factory approval step and are usually priced closer to a straightforward SDE multiple plus inventory.
