Common questions

What are net proceeds?

The cash left in your hands after the sale price has paid off business debt, broker and advisory fees, legal and closing costs, and the tax on your gain.

What tax rate should I use?

Long-term capital gains on a business sale commonly land between 15% and 25% federally once state tax is added, but the split between goodwill, equipment and inventory changes it. Use a rough figure here and get a real number from your accountant.

Why does a seller note reduce my cash at close?

A seller note means you finance part of the price yourself, so that portion is paid to you over time rather than at closing. It still counts toward your total, just later — and only if the buyer keeps paying.

What is a typical broker fee?

Main-street brokers commonly charge 8–12% of the sale price. Lower-middle-market M&A advisers usually charge less on a percentage basis but add a monthly retainer.

Is this a tax calculation I can rely on?

No. It is a planning estimate. Deal structure, asset allocation, entity type and state all change the real tax bill.
